(NASDAQ: ILLR, ILLRW) on behalf of investors who purchased or otherwise acquired Triller securities between October 16, 2024 and December 29, 2025 (the “Class Period”). The case was filed in the U.S. District Court for the Central District of California. Investors who want to ask the court to appoint them lead plaintiff must do so by December 14, 2026. What the lawsuit alleges According to the complaint, on October 15, 2025, Triller, formerly known as AGBA Group Holding limited, completed a merger, including the purported acquisition of Bare Knuckle Fighting Championship (“BKFC”). The complaint alleges that throughout the Class Period, Defendants made false and/or misleading statements and/or failed to disclose that (i) Triller’s control over and consolidation of BKFC was tenuous, overstated, and/or non-existent; (ii) Triller could not timely file one or more of its periodic financial reports with the SEC as required by the NASDAQ’s listing requirements, in part, because of accounting issues related to the foregoing; (iii) as a result of all the foregoing, Triller was at an increased risk of being delisted from the NASDAQ; and (iv) accordingly, Triller’s disclosure controls and procedures were deficient, the full scope and severity of issues with its financial controls were understated, and the overall benefits of the Merger were overstated. Then, on December 30, 2025, according to the complaint, Triller issued a press release confirming the suspension of trading on the Nasdaq Stock Market and delisting of the Company’s securities stemming from the Company not having been able to file two periodic reports by a December 24, 2025 deadline. Furtherr, the Company’s press release attributed the filing delay “to one remaining technical matter involving the consolidation of accounts for a U.S.-based operation within Triller Group [i.e., BKFC].” What happened to Triller Group stock The truth allegedly began to emerge on March 31, 2025 when Triller filed a Form NT 10-K, disclosing its inability to timely file its annual report on Form 10-K for the quarter and year ended December 31, 2024. On this news, the price of Trilller stock fell $1.40 per share, or 17.95%, to close at $6.40 per share on April 1, 2025.
