The complaint alleges that the Offering Documents for the IPO contained materially incorrect or misleading statements and/or omitted material information that was required by law to be disclosed.  Further, the complaint alleges that the Offering Documents were false and misleading and omitted to state the Company’s ARR per customer was declining and that existing regulatory issues would hinder its “land and expand” strategy in Germany. According to the complaint, as the true facts emerged after the IPO, the Company’s shares fell sharply and by the commencement of the action, Via’s shares traded as low as $14.52, a decline of nearly 70% from the IPO price.
